Scope Vision Terms of Service

These Terms of Service ("Terms") are template-grade text self-attested by Scope Vision, Inc. ("Scope Vision," "we," "us," or "our"). They have NOT been reviewed by counsel. They are published in front of closed-beta V1 users under sign-off option (c) — defer with best-effort — as documented in docs/handoff/GATE_5_COMPLIANCE_DECISION.md.

1. Acceptance of terms

By creating an account, signing in, or otherwise accessing the Scope Vision platform (the "Service"), you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Eligibility (closed-beta audience for V1)

The Service is currently offered as a closed-beta product to invited users only. By using the Service you represent and warrant that:

  • You are at least 18 years of age and at least 16 years of age where required for digital consent in your jurisdiction.
  • You are a resident of the United States (the Service is US-only for V1).
  • You have been invited to participate in the closed-beta or have been added to a workspace by an invited user.
  • You will use the Service only for lawful business purposes related to construction, restoration, insurance, or adjacent industries.

We may limit, suspend, or revoke access to the closed-beta at any time, with or without notice.

3. Account responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials, including any password, magic-link code, or session token.
  • All activity that occurs under your account.
  • Ensuring that the email address and other contact information you provide is accurate and kept current.
  • Promptly notifying us at [email protected] if you suspect any unauthorized access to your account.

You agree not to share your account credentials with any third party, and not to allow any third party to access the Service through your account.

4. Acceptable use

When using the Service, you agree NOT to:

  • Scrape, crawl, or otherwise use automated means to extract data from the Service (except as we explicitly permit via API keys we issue).
  • Resell, sublicense, or commercially exploit any portion of the Service or any content derived from the Service.
  • Upload content that infringes any third party intellectual property, privacy, or publicity rights.
  • Upload content that is unlawful, defamatory, harassing, or obscene.
  • Attempt to probe, scan, or otherwise test the vulnerability of the Service or to circumvent any security measure.
  • Use the Service to compete with us or to build a competing product.
  • Reverse engineer, decompile, or disassemble the Service except to the extent expressly permitted by applicable law.

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section.

5. Service availability (best-effort, no SLA)

The Service is provided on a best-effort basis. We do not guarantee:

  • Continuous, uninterrupted, or error-free operation.
  • That the Service will meet your specific requirements.
  • That defects in the Service will be corrected within any particular timeframe.

We may perform scheduled and unscheduled maintenance, modify features, and limit access (including during the closed-beta) without liability. During V1 the Service is offered WITHOUT ANY SERVICE-LEVEL AGREEMENT (SLA). Paid SLA commitments, if any, will be set forth in a separate written agreement.

6. Termination

By you. You may terminate your account at any time by contacting us at [email protected] and requesting account closure.

By us. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

Effect of termination. Upon termination:

  • Your right to use the Service ends immediately.
  • We will retain or delete your data in accordance with our Data Retention Policy and the technical best-effort retention schedule described in docs/compliance/data-retention-policy.md.
  • Sections that by their nature should survive termination (including Acceptable Use, Disclaimers, Limitation of Liability, Governing Law, and Contact) will survive.

7. Disclaimers + limitation of liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SCOPE VISION, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICE.

IN ANY EVENT, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF (OR INABILITY TO USE) THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

Some jurisdictions do not allow the limitation of certain damages; in those jurisdictions the limitations above will apply to the maximum extent permitted by applicable law.

8. Governing law (Delaware, US-only)

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

The Service is offered only in the United States. We do not represent that the Service is appropriate or available for use in other jurisdictions, and access from outside the United States is at your own risk.

9. Changes to terms

We may revise these Terms from time to time. When we make a material change, we will notify you by email at least thirty (30) days before the change takes effect. Non-material changes (such as clarifications, typo fixes, or contact-information updates) may be made without advance notice.

Your continued use of the Service after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to a change, you may terminate your account under Section 6 before the change takes effect.
